These Terms of Use (“Terms”) apply to your (“you”, “your” or "your business") use of WISE Management content, communication platform, and business services (the “Service”). By using the Service, you agree that these terms will become a legally binding agreement between you and WISE Management identified in these Terms (“WISE Management”, "WISE MGMNT", "WISE" or "WM").

Your use of these services is subject to these Terms and WISE’s Acceptable Use Policy (below) and Community Guidelines. By using the Service, you acknowledge WISE’s Privacy Policy.

You may use the Service only if you can form a binding contract with WISE MGMNT and you are legally permitted to do so. By using the Service, you represent and warrant that you have the full right, power and authority to agree to and be bound by these Terms and to fully perform all of your obligations hereunder.

If you sign up to use the Service on behalf of an organisation using an email address provided by your employer or another organisation, (i) you represent and warrant that you are an authorised representative of that entity with authority to bind that entity to these Terms; (ii) your use of the Service will bind that entity to these Terms; and (iii) “you” and “your” in these Terms will refer to both you and that entity.

If you need a business email, WISE will provide one for you at retail cost. Use of your WM email is for your business and professional matters only and does not imply or express ownership or employment with WISE MGMNT.

Using the Service

These services are for new and existing entrepreneurs aged eighteen or older. Children may not access or use these services unless their use is directly authorized by their parent, guardian, or another authorized adult (such as a teacher) who agrees to be bound by these Terms. For purposes of these Terms, a child is a person under the age of 13 (or the minimum legal age required to provide consent for processing of personal data in the country where the child is located).

Access to these services subjects your compliance with these Terms, you are granted an exclusive, self-limited, non-transferable, freely revocable account access and use these services for business or professional purposes. WM reserves all rights not expressly granted under these Terms. If you are a team, each person must have a unique account and you are responsible for any activity conducted on your account or business name.

Services provided by WISE may only be used for lawful purposes. You agree to comply with all applicable laws, rules, and regulations in connection with your use of these services.

Content created with your account must not:

*Harass, bully or intimidate others, or threaten violence

*Organise, promote or participate in hate speech or hateful conduct, including attacking any individual or group based on race, ethnicity, caste, national origin, sex, gender identity, religious affiliations, age, illness, disability or other protected classifications

*Organise, promote or support violent extremism, excessive violence, animal harm or content with the intention to harass and shock others

*Organise, promote or engage in illegal or dangerous behaviour

*Share sexually explicit content or sexualize children in any way

*Support or promote suicide or self-harm

*Violate WISE or another entity’s intellectual property or other rights

*Share or create false or misleading information

*Spam, manipulate or disrupt others' experience, including using bots, impersonation of other people and fraudulent activity.

Restrictions of these services. You shall not yourself or through any third party:

*Rent, lease, sell, distribute, offer in a service bureau, sublicense, or otherwise make available the Service to any third party (except as permitted under these Terms);

*Copy, replicate, decompile, reverse-engineer, attempt to derive the source code of, modify, or create derivative works of the Service, or any part thereof;

*Access the Service for purposes of performance benchmarking;

*Access the Service for purposes of building or marketing a competitive product;

*Use the Service to store or transmit a virus or malicious code;

*Use a virtual private network (VPN) to circumvent geographic-based pricing or content access;

*Use the Service to transmit unsolicited emails or engage in spamming; or

*Bypass the measures we may use to prevent or restrict access to the Service, including without limitation features that prevent or restrict use or copying of any content or enforce limitations on use of the Service.

Enforcement.

Your services may be suspended or terminated with or without notice upon any violation of the Acceptable Use Policy. Content identified as illegal may be reported to law enforcement organisations and/or government authorities.

Billing

Taxes. Your subscription fees are inclusive of all taxes unless otherwise specified in an agreement with WISE or on an applicable invoice. Tax rates are calculated based on the billing information you provide and the applicable tax rate at the time of your subscription charge.

Cancellation. You can stop using these services and/or cancel your subscription at any time. If you cancel your account or subscription you will not be entitled to a refund of any fees already paid and any outstanding fees will become immediately due and payable.

Term and Termination Term.

These Terms shall take effect the first time you access these services and shall continue in full force and effect until (i) if you are a paid subscriber, the expiration or termination of your subscription; or (ii) if you are using WISE’s free offering, when your account is deleted or terminated.

Violations. If WISE MGMNT, in its sole discretion, determines that you or your use of these services, your User Content, Groups or Chat violate these Terms, including but not limited to, WISE’s Acceptable Use Policy, or the Community Guidelines, WISE may take one or more of the following actions in its sole discretion: (i) delete the prohibited User Content, Email, or Group; (ii) suspend your access to the Service; (iii) terminate and delete your account along with all linked Groups, Emails and User Content associated with those accounts (iv) permanently ban you from using these services; and/or (v) disclose the prohibited User Content, Email or Group to appropriate government authorities.

Effect of Termination. In the event of a termination of your subscription to a violation by you, you will not receive any refund and shall immediately pay any outstanding fees for the remaining period of your subscription.

Upon any expiration or termination of your subscription, you must cease using the Service. You will lose access to your User Content, and any other information uploaded to the Service (we may delete all such data unless legally prohibited) after expiration or termination of your Subscription. If your account has been terminated due to a violation, you may not create a new account on The Hub unless you receive WISE’s written permission.

Warranty Disclaimer

The Service is provided on an “as-is” and “as-available” basis. To the maximum extent permitted by applicable law and subject to any non-excludable rights and remedies you may have under applicable law, WISE, its licensors, and its suppliers, expressly disclaim any and all warranties of any kind, whether expressed or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, or non-infringement. WISE MGMNT does not warrant that your use of the Service will be uninterrupted or error-free.

Warranty disclaimer - data. WISE MGMNT does not warrant that it will review your data for accuracy or that it will preserve or maintain your data without loss. You understand that use of these services necessarily involves transmission of your data over networks that WISE may or may not own, operate, or control, and that WISE is not responsible for any of your data lost, altered, intercepted or stored across such networks. The Hub will not be liable for delays, interruptions, service failures, or other problems inherent in use of the Internet and electronic communications or other systems outside WISE’s reasonable control.

Except as expressly set out in these Terms, all intellectual property rights in and to the Service remain the sole property of WISE Management and its licensors. You may assign to WISE any suggestions, ideas, enhancement requests, or other feedback you provide to WISE relating to these services or WISE’s products. WISE owns all content, data, software, inventions, ideas and other technology and intellectual property that it develops in connection with these services and its products outside of third party affiliations.

WISE is committed to protecting the safety and security of our subscribed personal or business users (USERS) and is sensitive to our user’s concerns about the safety of the personal information provided to us. This Privacy Policy carefully states how any personal information collected by us is used.

Users must agree to their personal information being used by WISE in accordance with this Privacy Policy before they may subscribe or use the WM platform.

This Privacy Statement has been developed by WISE and adopted through legal responsibility to provide a Privacy Policy.

Personal information we collect:

Users subscribing with the WISE must give their consent at the time of registration to provide us with their own name and their email address, and or business names, or group affiliations.

Individuals or businesses who do not give this consent cannot provide us with their personal information and cannot use these services or purchase products.

We require this information in order to correctly identify each user as a subscribed user or business entity, manage their account, grant access to restricted content, and shipping products to users at their address.

What we will do with your information

The information collected from users is used for the following purposes:

• to send confirmation emails to users who register to use the product;

• to respond to any questions, concerns or problems raised by the registering user;

• to contact the registering user about any problems with the associated account or conduct therein

• to provide services that requires the release of obtained information to third parties or government agencies.

What we will not do with your personal information

WISE MGMNT will keep your personal information confidential and not sell or knowingly divulge your information to advertisers or any external third parties, unless:

• we are required to share your information with a third party in order to comply with law or to comply with a court order or subpoena;

• to enforce our website or event rules; or

• to protect the safety and security of our Registrants and our Product

Processing your information

We ask for Users’ consent to the use of any personal information we collect from them in accordance with our Privacy Policy at the time of registration. If a user does not wish to provide us with their consent, they cannot agree to the Terms and Conditions and must not use these services.

Our use of the personal information we collect is necessary in order for us to maintain the Product and facilitate users’ use of these services. We do not collect any unnecessary personal data from userss (for instance, their race or religious beliefs).

How long we hold your information

WISE will keep any personal information we collect from userss for as long as they are current, good standing users of these services. If a user cancels their subscription or entity services or it otherwise lapses after 3 months of unpaid subscriptions or entity fees, we will only keep their personal information for the purposes of sending the user information regarding WISE or other products and services if they agree to receive this information. Personal information is otherwise deleted or destroyed, or retained internally where applicable by law.

Keeping your personal information secure

WISE MGMNT is committed to information security. We will use all reasonable endeavours to keep users’ personal information in a secure environment. For instance, each user’s personal information is encrypted whilst being sent to our server at the time of registration. However, security cannot be guaranteed due to the nature of the internet.

WISE's security measures are designed to assist in users’ personal information not being accessed by unauthorised personnel, lost or misused. If you reasonably believe that there has been an unauthorised use or disclosure of your personal information please let us know by contacting our Privacy and Data Protection Officer online at www wisemanagement.biz on the contact page.

Revision of Privacy Policy

WISE MGMNT reserves the right to change, modify, or revise this Privacy Policy in order to comply with any applicable laws or for any other reason at any time. Therefore our userss are required to check the Privacy Policy periodically to read about any changes, modifications, or revisions. Users may wish to check it each time they submit personal information. You will be deemed to have consented to such variation by your continued use of the Product following any changes being made.

Transfer of your data

Users’ personal information is uploaded to and kept on servers that we maintain or that are maintained by third parties that comply with strict contractual privacy obligations. It is not otherwise transferred internationally except where a copy is sent to the user themselves at their request. Users must consent for their personal information to be transferred and stored in this manner at the time of subscription or scheduling of business services.
